Terms of Use - Code Quest for Tech Gurus

These terms and conditions (hereinafter to as the “Terms and Conditions”) shall govern the participation in the Trigonal-New Dawn Code Quest 2024. Trigonal-New Dawn Code Quest 2024 (hereinafter the “Code Quest”). The Code Quest is organized by Trigonal Technologies in conjunction with New Dawn Scholars and Aid Foundation. These Terms and Conditions shall have effect as of their publication on the official website for the competition and shall regulate the rights and liberty of the parties hereto.

IN CONSIDERATION of the mutual covenants and conditions hereinafter set forth and by applying, the participants agree and consent to the content and spirit of these Terms and Conditions.

1.

AIM OF THE HACKATON

The aim of the multi-dimensional Code Quest is to showcase and promote Nigeria innovator's ideas and inventions while encouraging collaboration between companies and innovators.

2.

OBJECTIVES OF CODE QUEST

To build a react native media player (using Expo CLI) that allows users to seemlessly stream music videos and audios

3.

DATE AND PLACE FOR THE EVENT

Unless expressly indicated otherwise on the website, the Code Quest is to be held from the 1st to 25th August 2024 to be held online. The organizers reserve the right to change the days and time of the event due to technical or organizational needs by announcing such changes on the event's official website.

4.

REGISTRATION

To participate in the Code Quest, participants shall register by filling in their details on the google form provided on the registration site; https://newdawnscholars.org/code-quest/registration. The registration process shall be open from the 1st of August 2024.

Registration does not guarantee participation in the Code Quest, for this reason all teams and individuals selected will receive an official confirmation of their acceptance to the Code Quest sent to the e-mail address provided at the time of registration and shall be given a GitHub repo where participants will be required to create a branch and upload their solutions.

A participant's registration is therefore only accepted once such participation is confirmed by the organisers via the confirmation e-mail.

5.

PARTICIPATION

Participation in the Code Quest is open to both individuals and teams (minimum of two and maximum of three participants). Participation in the Code Quest is free and open to students.

6.

RULES OF PARTICIPATION

Registration for the Code Quest is entirely free of charge and is open to individuals and teams of 2 to 3 people. Teams and individuals wishing to sign up for the Code Quest must complete the online registration form on the website: https://newdawnscholars.org/code-quest/registration.

The members of each team are to ensure that the personal information provided upon registration online is true and accurate and must unconditionally accept all decisions made by the Code Quest organizers regarding event organization. The participants cannot switch teams after registration, no addition or deletion of the participants in the registered teams shall be allowed once the form is submitted.

7.

SCREENING

Each applicant's submission for the Code Quest will be prequalified based on the quality of entry at the discretion of the organizers.

A framework has been determined to guide the evaluation of entries for applicants. Based on the limit of required persons that will be needed to fill out the event slots, the screening framework will determine the competence, quality of participants and determine the relevance and innovative value of their ideas.

After the screening exercise, applicants will get an email informing them of the outcome of their application.

8.

JUDGING CRITERIA

The Organizers of the code quest have put together a team of judges who will explore the submissions and decide on the best ideas.

9.

WINNER ANNOUNCEMENT AND VERIFICATION

Winners shall be announced on the last day of the event, following an assessment by the judging panel.

10.

PRIZES

There shall be cash rewards for First, Second and Third positions.

The Winners shall receive N500,000.

The First runner up - N200,000

Second runner up - N100,000

11.

NOVELTY AND INTELLECTUAL PROPERTY RIGHT

The participants agree that;

i.

Upon payment of the prescribed prices, the intellectual property and creations become the sole property of Trigonal Technologies Limited.

ii.

The sponsor Trigonal Technologies Limited shall trademark the creation in its name and seal.

iii.

Nothing in this agreement should be construed as giving authorization to use or display any of the sponsor's trademarks (including any logos or brands), rights to any licensed content, or other intellectual property owned by the organizer in any way other than as expressly permitted in this agreement.

iv.

Where a participant(s) intends to use the name of the Code Quest organizers or any of their trademarks in any promotional materials for their participation in it or, if appropriate, their victory, the participant(s) must undertake to get the organizers’ permission beforehand.

v.

Every intellectual property, idea/solution, innovation, designs or patents developed shall become the sole property of the sponsors Trigonal Technologies Limited.

vi.

Upon payment of the prescribed prices, the intellectual property and creations become the sole property of Trigonal Technologies Limited.

12.

LIABILITY

The Sponsors are not liable for any loss or damage suffered directly or indirectly by a participant, his personnel or by persons working on the instructions of the participant.

he participant indemnifies the sponsors against any and all claims that third parties may bring against organizers in connection with its acts or omissions.

Unless expressly provided otherwise herein, the sponsors shall not be obliged to intervene in any disputes to which it is not party, including but not limited to disputes between participants.

13.

DISPUTES AND THIRD-PARTY RIGHTS

i.

Participants shall be responsible to ensure their participation in the Code Quest conforms to any rules that their institution may have governing participation in competitions of this nature.

ii.

The Sponsors maintain the right to prevent participants from taking part in the Code Quest or winning a prize at any moment if there is cause to suspect that participants have broken any set rules. Any disagreements that develop between participants and their institution shall not be within the sponsors’ responsibility.

14.

DAMAGES, WARRANTIES AND CONTRIBUTORY NEGLIGENCE

In no event will the sponsor be liable to any participant(s) for any direct, special, punitive or consequential damages arising out of or with their participation in the Code Quest.

Neither party is liable to the other party for consequential or incidental damages, or loss of profits, revenue, goodwill or opportunities in contract, tort, under any statute or otherwise (including negligence) arising from or in any way related to this Agreement or the Code Quest.

15.

CONFIDENTIALITY

The participant agrees to hold in confidence all confidential information disclosed as part of the Code Quest. The participant further agrees to only use such confidential information for the sole purpose of the Code Quest and not to disclose such confidential information to any third parties without the prior written permission from an authorized officer of the Sponsors. Moreover, participant shall take all necessary measures to avoid access to confidential information by unauthorized third parties.

For the purpose hereof, Confidential Information is defined as any information, other than information that is generally available to the public, that becomes available during the Code Quest or has been provided to the participant in relation to the Code Quest and of which it has been notified by the organizers that the information is confidential or that it should reasonably understand is confidential. For the avoidance of doubt, any data sets provided by the organizers, including but not limited to mobility services datasets from any institution or private company, constitutes confidential information.

The participant agree to at the organizer’s request, destroy or return all documentation delivered in relation to the Code Quest. Such return shall not disclaim the participant from any other obligation under this agreement and all disclosed confidential information will remain subject to these Terms and Conditions.

These Terms and Conditions do not imply, nor shall they be construed as any transfer of intellectual property rights in confidential information. Likewise, the disclosure of confidential information under this Agreement does not imply any licence of a patent, trademark or any intellectual property rights, which, as the case might be, should be the subject to a specific agreement.
